ARTICLE I: Name Section I: The name and title by which this corporation shall be known is the West-Central Regional Trauma Advisory Council, herein abbreviated as WC-RTAC. ARTICLE II: Purpose and Section I: Purpose – The WC-RTAC is organized and shall be operated exclusively for the improvement of trauma care. In furtherance of this purpose, the WC-RTAC shall, through appropriate mechanisms, shall: Section II: ARTICLE III: Membership Section I: Membership in the WC-RTAC shall consist of agencies who are cognizant of their obligation to the public and who meet the requirements for membership as herein defined. Section II: The membership shall consist of (a) Hospital members, (b) Pre-hospital (EMS) members; (c) Public Safety members, (d) Emergency Governance members, (e) Physician members, (f) Education members, and (g) such other members as may be required or recognized by the Executive Council. Section III: A Hospital member shall be a facility that delivers trauma care or rehabilitation services to injured persons. Section IV: A Pre-hospital member may be either a First Responder or Emergency Medical Services provider agency. Section V: A Public Safety members shall be a fire department, law enforcement agency, dispatch center or other group with opportunity to treat injured people or need to participate in the deliver or coordination of care. Section VI: An Emergency Governance member is an agency charged with maintenance of public safety and security during a period of natural or man-made disaster. Section VII: An Education member is a school or other organization that provides education and/or training to providers of medical care, pre-hospital emergency care or public safety or law enforcement agencies. Section VIII: Other members may consist of representatives of business or other vendors, members of the public-at-large, other RTAC representatives, or any individual or agency that the Executive Council determines has expertise that the WC-RTAC desires or needs. Section IX: Active members are defined as organizations that are present for 75% of all WC-RTAC meetings and participate in at least 1 committee. The Executive council retains the right to review applicants and make recommendations to the state trauma coordinator. Section X: Any member who has been suspended or expelled shall not be entitled to any of the rights or benefits of the RTAC or be permitted to take part in any of the proceedings until is has been reinstated. Section XI: Active members are eligible to receive financial support on projects sponsored by the WC-RTAC after 12 months of being an active member, or at the discretion of the executive council. Section XII: The RTAC coordinator shall be a non-voting member of all councils and committees. The coordinator shall assist committee chairs to adhere to guidelines set by the executive council. ARTICLE IV: Elections Section I: Offices to be Filled – Elected offices of the WC-RTAC include Chairperson, Vice Chair, Secretary, and three (3) Directors. The fiscal agent will be a standing member of the executive council and will not be elected. Section II: Term of Office – The term of office for all offices shall be for two (2) years. The chair, Secretary, and second director elected in even years. The Vice-Chair, first and third directors are elected in odd years. Section III: Eligibility and Qualifications of Candidates – A candidate must be a member in good standing. Section IV: Self-declaration of Candidacy – Self-declaration shall be permitted in the election of officers and directors at large for the Executive Council. Declaration of candidacy for elected office must occur by November 1st prior the elections at the first regularly scheduled meeting following the first of the year. Section V: Time of Elections – Elections will be held at the first regularly schedule WC-RTAC meeting each new-year. New officers take their position at the next regularly scheduled meeting. Section VI: Eligibility of Voters – The Chair or Vice Chair shall run the election. Each agency in good standing has one vote. Vote may be taken by hand count, or by ballot if there is more than one candidate for an office. Section VII: Time When New Office Takes Place – The term of office for all elected officers of the WC-RTAC shall begin at the next regularly scheduled meeting following elections. Prior to that meeting, the Section VIII: Vacancies in Office ARTICLE V: Executive Council Section I: Officers – the officers of the WC-RTAC shall be a Chairperson, a Vice Chairperson, a Secretary, and fiscal agent. Section II: The council will also consist of three (3) directors; Director #1 shall be a pre-hospital provider, director #2 from a Hospital and Director #3 from the membership at large. Section III: Duties of Officers The Chairperson shall be the chief spokesperson for the WC-RTAC. The Chairperson shall appoint ad hoc committees of the Executive Council and shall designate a chairman thereof, subject to their approval. The Chairperson shall report to the WC-RTAC membership at the annual meeting with an account of the activities of the Executive Council for the past year and its recommendations for any additional business. The Vice Chairperson shall preside at the meetings of the WC-RTAC in the absence of the Chairperson. The Vice Chairperson shall perform such other duties as shall be assigned by the Executive Council. The Fiscal agent shall be responsible for adequate and proper accounts of the properties and funds of the WC-RTAC. The Fiscal agent shall, at the annual meeting, give a full report to the membership. The fiscal agent shall deposit or call to be deposited all monies and other valuables in the name and to the credit of the WC-RTAC with such depositories as may be designated by the Executive Council. The fiscal agent shall: A) disburse the funds of the WC-RTAC as may be ordered by the WC-RTAC; B) shall render to the Executive Council, whenever it may be requested, an account of all his/her transactions as fiscal agent, and of the financial conditions of the WC-RTAC; C) and shall have such other powers and perform such other duties as may be prescribed by the Executive Council; The Secretary shall: a) have charge of all keeping of the Executive Council and annual meeting; b) Communicate minutes via the listserv. c) And in general, performing all duties as from time to time may be assigned by the President or the Executive Council. The Chairperson. Vice- Chairperson, Fiscal Agent and Secretary shall be empowered to act, on emergency matters only, without calling a special meeting. ARTICLE VI: Duties and Responsibilities of the Executive Council Section I: Without prejudice to the duties and responsibilities confirmed by statute or by these Bylaws, the directors of the WC-RTAC shall be responsible for the implementation of policies and for the property, business, and financial affairs. It is expressly declared that the Executive Council shall have the following duties and responsibilities: a) To implement policy as directed by the WC-RTAC membership; b) To appoint or remove members of committees, sub-committees, task forces, and ad hoc committees, pursuant to the affirmative vote of majority of the Directors; c) To direct the activities of the WC-RTAC office through the coordinating facility. d) To provide for the management of the affairs of the WC-RTAC in such a manner as may be necessary or as directed by the membership. e) To establish committees necessary for the performance of its duties. f) To establish, regularly review, and update the WC-RTAC management plan to attain its goals. g) To call special meetings of the WC-RTAC as may be requested. h) To report the activities of the Executive Council for preceding year to the membership at the WC-RTAC annual meeting. i) To approve funds for services provided. ARTICLE VII: Meetings of the Executive Council Section I: The Executive Council shall hold meetings at such time and at such places as shall be designated by the Chairperson, but in no event shall there be fewer than four (4) such meetings in any calendar year; a majority of the membership of the Executive Council shall constitute a quorum for the purposes of transacting business. Unless otherwise stated in these Bylaws, an affirmative vote by a majority of the Executive Council members present and voting shall constitute action of the Executive Council. Section II: Special meetings shall be called by the Chairperson of at least 25 percent of the members of the WC-RTAC. The object of such special meetings shall be stated in the call and no other business shall be transacted. Meetings will be held in accordance with state “open meeting” laws. Closed session may be held in order to discuss employment matters of employees. ARTICLE VIII: Judicial Affairs Section I: The Executive Council shall serve as the judicial body of the WC-RTAC. Section II: The WC-RTAC has the inherent right to discipline, suspend, or expel an WC-RTAC member, after due notice and hearing for a violation of WC-RTAC Bylaws, policies, or rules, or for the unethical or unprofessional conduct. Section III: Anyone may in good faith prefer charges against any WC-RTAC member believed to have violated WC-RTAC Bylaws, policies, or rules, or for unethical or unprofessional conduct. Section IV: Any officer or elected official of the WC-RTAC may be disciplined or removed from office in accordance with procedures. ARTICLE IX: Committees Section II: Each committee shall be responsible for the performance of its duties and responsibilities. The Executive Council may also establish and appoint such other committees as may be necessary to carry out the duties of the WC-RTAC.\ Section III: The Executive Council shall have the power to establish committees necessary for the performance of its duties. Each committee established by the Executive Council shall be responsible for the performance of the duties and functions delegated to it by the Executive Council. Section IV: Ad hoc committees may be established by the Executive Council. Such ad hoc committees shall be established for a specific purpose and shall report to the authority that appointed them. The ad hoc committee shall cease to exist when its assignment is completed and a final report is issued. ARTICLE X: Rules of Order Section I: In the absence of any provisions to the contrary in the Bylaws, all meetings of the WC-RTAC, the Executive Council, shall be governed by the parliamentary rules and usage’s contained in the current edition of The Standard Code of Parliamentary Procedure. ARTICLE XI: Dues and Assessments Section I: The Executive Council shall determine the amount of dues and any assessments, subject to the approval of the WC-RTAC membership. ARTICLE XII: Amendments Section I: The power to amend these Bylaws shall be vested solely in the membership of the WC-RTAC. Section II: A proposal for the amendment or repeal of Bylaws or adoption of new Bylaws to be submitted to the WC-RTAC membership shall be initiated by (a) the Executive Council, (b) any standing committee, (c) any member, (d) coordinating facility, (e) resource hospital. Section III: Proposed amendments shall be in such form as the Executive Council may from time to time prescribe and each amendment shall be filed with that Executive Council prior to the annual meeting of the WC-RTAC. Section IV: The Executive Council shall present each proposal to members substantially in the form presented to it with such technical changes and conforming amendments to the proposal or existing bylaws as the Executive Council shall deem necessary or desirable. The proposed amendment shall be printed and distributed to each member of the WC-RTAC at least 30 days prior to the annual meeting. Section V: Amendments conforming to the above four (4) sections will require a two-thirds (2/3) vote of all members present and voting of the WC-RTAC. Approved
Section I: The WC-RTAC shall have the authority to establish standing committees. Appointing standing committee chairs and members, establishing subcommittees and appointing subcommittee chairs and members shall be governed by policies and procedures established by the Executive Council.
